Terms of Service

1. Acceptance of Terms & Eligibility

By accessing or using the Roomgenix web application, services, or APIs (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you represent a real estate brokerage, firm, or agency, you warrant that you possess full legal authority to bind that entity. You must be at least 18 years old to use the Service.

2. Intellectual Property & Commercial License Rights

2.1 Customer Listing Photography

You retain sole and exclusive ownership of all right, title, and interest (including copyright) in any raw photographs, floor plans, and listing imagery that you upload to the Service ("Input Content"). You represent and warrant that you own or have obtained all necessary licenses, permissions, and releases (including homeowner property releases) to upload and transform such photography.

2.2 Commercial Ownership of Staged Renders

To the maximum extent permitted by applicable law, Roomgenix assigns to you all of its right, title, and interest in and to the photorealistic staged images, decluttered photos, and twilight conversions generated by the Service from your Input Content ("Output Renders"). Roomgenix hereby grants you an exclusive, perpetual, worldwide, irrevocable, royalty-free, fully transferable commercial license to reproduce, modify, display, syndicate, publish, and monetize the Output Renders across all real estate channels, including but not limited to:

• Regional and local Multiple Listing Services (MLS) and IDX feeds.
• Consumer real estate portals (Zillow, Redfin, Realtor.com, Trulia, Homes.com).
• Brokerage websites, agent digital portfolios, and email newsletters.
• Social media marketing (Instagram, Facebook, LinkedIn, TikTok, YouTube).
• Print listing flyers, architectural brochures, yard signboards, and magazine spreads.

3. Permitted & Prohibited Conduct

3.1 Acceptable Use

You agree to use Roomgenix exclusively for legitimate real estate marketing, architectural visualization, interior staging, and property presentation.

3.2 Prohibited Use

You expressly agree that you will NOT use the Service to:

• Deceive prospective buyers by concealing permanent material structural defects (such as foundation cracks, roof collapse, water damage, or mold) in violation of real estate disclosure statutes.
• Violate the Federal Fair Housing Act by generating imagery designed to deter or exclude protected classes.
• Upload defamatory, obscene, illegal, or sexually explicit content.
• Reverse-engineer, decompile, scrape, or extract our underlying generative AI models or pipeline code.
• Remove cryptographic C2PA provenance credentials or mandatory MLS disclosure watermarks where required by your local board.

4. Pricing, Payments & Credit System

4.1 Rates & Billing

One photo is $2.99. The listing pass is $19 for 8 photos. The Starter pack is $29 for 10. The Pro pack is $49 for 25. The bulk pack is $99 for 60. Credits stay on the account. Cards are charged by Dodo Payments. We never receive or store complete credit card numbers.

4.2 Credit Rollover

Credits purchased through Pro Packs do not expire as long as your account remains active. Unused credits remain in your balance and can be utilized across future listing campaigns at any time.

5. 30-Day Money-Back & Quality Guarantee

We stand behind every render. If you or your seller are not completely satisfied with the quality, realism, or turnaround of a rendered image, you are entitled to a 100% full refund within 30 days of purchase under our Refund Guarantee.

6. Service Availability & Performance (SLA)

Roomgenix targets a 99.9% application uptime. Standard cloud GPU inpainting renders are delivered within 15 to 45 seconds under normal operational load. Scheduled maintenance is performed during off-peak weekend hours with advance dashboard notice.

7. Limitation of Liability & MLS Compliance

While Roomgenix equips all renders with automated compliance watermarks and true-dimension scaling, you acknowledge that compliance with individual local MLS board rules, state licensing bodies, and brokerage policies remains the ultimate responsibility of the listing agent. In no event shall Roomgenix, its directors, employees, or partners be liable for indirect, punitive, or consequential damages, or lost listing commissions. Our total aggregate liability under any claim arising out of these Terms shall not exceed the total fees paid by you to Roomgenix in the twelve (12) months preceding the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless Roomgenix from and against any third-party claims, liabilities, damages, or costs (including reasonable legal fees) resulting from your upload of photographs without proper homeowner authorization or your intentional misrepresentation of property structural conditions.

9. Dispute Resolution, Governing Law & Arbitration

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any dispute or claim arising out of or relating to these Terms or the Service shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. You and Roomgenix expressly agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
